Terms of Service

These terms govern access to and use of Commissioned, the services provided by Commissioned Tech, Inc. ("Commissioned", "we"). By using the Service you agree to these terms on behalf of yourself and, where applicable, the organization you represent.
1. The Service
Commissioned provides a platform for connecting data sources, deriving and reviewing structured data, and publishing results to connected systems. We may update the Service over time, and we will not materially reduce its core functionality during your subscription term.
2. Accounts
You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account. You must be at least 16 years old and authorized to act for the organization on whose behalf you use the Service.
3. Customer content
You retain all rights to data you submit to or connect with the Service ("Customer Content"). You grant us a limited license to host, process, and transmit Customer Content solely to provide the Service on your instructions and as described in our privacy policy. A signable data processing addendum is available on request.
You are responsible for having the necessary rights to the Customer Content you connect, including rights under the terms of any third-party platform you integrate.
4. Acceptable use
You agree not to misuse the Service. In particular, you will not:
- Violate any applicable law or the rights of any person
- Connect to or extract data from third-party platforms in violation of those platforms' terms or applicable law
- Upload malware, probe or test the Service's security without written authorization, or attempt to access other customers' data
- Send spam through the Service, resell it, or use it to build a competing product
- Impose unreasonable load on the Service or circumvent usage limits
We may suspend access for violations that risk harm to the Service, other customers, or third parties. Where practical, we will notify you and give you a chance to cure first. Report suspected violations to support@commissioned.tech.
5. AI features
The Service uses machine learning models to derive suggestions, classifications, and other outputs from Customer Content. Outputs are probabilistic and may be inaccurate. The Service is designed for you to review and govern outputs before relying on them, and you are responsible for decisions made based on them.
6. Fees
Paid plans are billed as described at the time of purchase. Except where required by law or expressly stated otherwise, fees are non-refundable. We may change pricing with notice, effective at your next renewal.
7. Intellectual property
We retain all rights in the Service, including software, design, and documentation. You may not copy, modify, or create derivative works of the Service except as permitted by these terms. Feedback you provide may be used without restriction.
8. Confidentiality
Each party will protect the other's confidential information with at least reasonable care and use it only as needed to perform under these terms, subject to disclosures required by law.
9. Termination
You may stop using the Service at any time. We may suspend or terminate access for material breach that remains uncured after notice, or immediately where necessary to protect the Service. On termination, we will delete or return Customer Content as described in our privacy policy.
10. Disclaimers
The Service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
11. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, and each party's aggregate liability under these terms is limited to the amounts you paid for the Service in the twelve months before the claim arose.
12. Governing law
These terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in Delaware.
13. Changes to these terms
We may update these terms by posting the revised version on this page with an updated effective date. Material changes take effect at your next renewal or 30 days after posting, whichever is sooner.
